According to the report, Codemasters&rsquo; CEO Frank Sagnier, CFO Rashid Varachia, and executive director Ian Bell have agreed to close the deal with EA.<\/p>\n<p>It will be put to vote on February 3, and still needs approval by shareholders, which have been recommended to vote in favour. Once shareholders agree, a hearing will be held on February 16 to cement the deal.<\/p>\n<p><iframe loading=\"lazy\" width=\"500\" height=\"281\" src=\"https:\/\/www.youtube-nocookie.com\/embed\/NspSHUFieho?feature=oembed\" frameborder=\"0\" allow=\"accelerometer; autoplay; clipboard-write; encrypted-media; gyroscope; picture-in-picture\" allowfullscreen><\/iframe><\/p>\n<p>Even without the shareholder agreement in place just yet, the decision by Codemasters&rsquo; executives to vote in favour of the deal is now binding. This means if another company swoops in with a higher bid, Codemasters is still legally bound to take EA&rsquo;s offer. Unless, of course, EA withdraws the offer or it expires (thanks, <a href=\"https:\/\/www.gamesindustry.biz\/articles\/2021-01-22-codemasters-directors-to-vote-in-favour-of-ea-bid\"  rel=\"noopener\">GI.biz<\/a>).<\/p>\n<p>On December 14, EA made an&nbsp;<a href=\"https:\/\/www.vg247.com\/2020\/12\/14\/ea-1-2-billion-codemasters-acquisition-take-two\/\">offer to Codemasters for&nbsp;&nbsp;$1.2 billion<\/a>, which was more than the&nbsp;<a href=\"https:\/\/www.vg247.com\/2020\/11\/06\/codemasters-talks-sell-rockstar-parent-company-take-two\/\">$994 million<\/a>&nbsp;offer Take-Two put out&nbsp;<a href=\"https:\/\/www.vg247.com\/2020\/11\/10\/take-two-f1-dirt-codemasters\/\"  rel=\"noopener\">in November<\/a>.
